Terms of Service

Psiconline America Tech provides open technology infrastructure for health tech platforms. By using our services, you agree to these terms.

1. Acceptance of Terms

By accessing or using Psiconline America Tech's infrastructure platform, website, APIs, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Description of Services

Psiconline America Tech provides:

  • Video Conferencing Infrastructure: HD video systems, WebRTC-based, API-accessible
  • Secure Data Storage: HIPAA/PIPEDA compliant cloud storage with encryption
  • API Services: RESTful APIs for platform integration
  • Compliance Infrastructure: Audit logging, encryption, and security controls

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your API keys and credentials
  • Promptly notify us of any unauthorized access
  • Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use Policy

You agree not to misuse the Service. Prohibited activities include:

  • Violating any applicable laws or regulations (including HIPAA, PIPEDA, GDPR)
  • Uploading malicious code or harmful content
  • Interfering with or disrupting the Service's integrity
  • Attempting to bypass security measures
  • Using the Service for unauthorized monitoring or data extraction
  • Exceeding rate limits or abusing API resources
  • Storing or transmitting protected health information without a signed BAA

5. HIPAA Compliance and BAAs

For customers processing protected health information (PHI) under HIPAA:

  • You must sign a Business Associate Agreement (BAA) before storing or transmitting PHI
  • Our BAA incorporates the HIPAA Security Rule and Breach Notification Rule
  • We will report security incidents as required by HIPAA
  • You are responsible for obtaining patient authorizations where required

6. Data Ownership and Usage

Your Data

You retain all ownership rights to data, content, and information you upload, store, or process through our Service. We do not claim ownership over your data.

Our Infrastructure Data

We own all data related to platform performance, security logs, and aggregated analytics that do not identify you or your end-users.

License to Operate

By using our Service, you grant us a limited license to host, process, and transmit your data solely as necessary to provide the Service to you.

7. API Usage and Rate Limits

Our APIs are subject to rate limits based on your pricing tier:

  • Starter: 1,000 requests per minute
  • Professional: 5,000 requests per minute
  • Enterprise: Custom limits as agreed

We reserve the right to throttle or block API requests that exceed rate limits or abuse system resources.

8. Fees and Payment

Service fees are specified in your pricing plan or service agreement:

  • Fees are billed in advance on a monthly or annual basis
  • Payments are non-refundable except as required by law
  • We may suspend service for overdue payments (30+ days)
  • Fees are exclusive of taxes, which you are responsible for paying
  • We reserve the right to change pricing with 30 days' notice

9. Service Level Agreement (SLA)

Our standard SLA guarantees:

  • Uptime: 99.9% availability for core services
  • Response Time: API response < 500ms (p95)
  • Support: Email response within 4 hours (standard) or 1 hour (enterprise)

If we fail to meet these commitments, you may be eligible for service credits as defined in your agreement.

10. Security and Data Protection

We implement industry-standard security measures including:

  • AES-256 encryption for data at rest
  • TLS 1.3 encryption for data in transit
  • Regular security assessments and penetration testing
  • Access controls and audit logging
  • Automated backup and disaster recovery

You are responsible for implementing appropriate security measures on your end, including securing API keys and user authentication.

11. Data Retention and Deletion

Upon termination of your account:

  • Your data will be retained for 30 days to allow for export
  • After 30 days, your data will be permanently deleted from active systems
  • Backups may retain data for up to 90 days
  • We may retain anonymized analytics and audit logs as required by law

You may request immediate data deletion by contacting support.

12. Termination

Either party may terminate these Terms at any time:

  • By you: Stop using the Service and cancel your account
  • By us: For violation of these Terms, with 30 days' notice for non-material breaches, or immediately for material breaches (e.g., illegal activity, security threats)

Upon termination, your right to use the Service ends immediately.

13. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PSICONLINE AMERICA TECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US DURING THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Psiconline America Tech from any claims, damages, losses, or expenses arising from:

  • Your violation of these Terms
  • Your use of the Service in violation of applicable laws
  • Your data or content
  • Your failure to comply with HIPAA, PIPEDA, or other regulations

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles.

Any dispute arising from these Terms shall be resolved through binding arbitration in San Antonio, Texas, unless otherwise required by applicable law.

17. Modifications to Terms

We may update these Terms from time to time. Material changes will be notified via:

  • Email to the address associated with your account (30 days' notice)
  • Platform notification when you log in

Your continued use of the Service after changes constitutes acceptance of the modified Terms.

18. Third-Party Services

Our Service integrates with third-party providers (AWS, Google Cloud, Azure). These providers have their own terms of service and privacy policies. We are not responsible for their practices.

19. Export Compliance

You agree to comply with all applicable export control laws, including the U.S. Export Administration Regulations (EAR). You may not use the Service in embargoed countries or for prohibited end uses.

20. Entire Agreement

These Terms constitute the entire agreement between you and Psiconline America Tech regarding the Service, superseding any prior agreements.
